Terms of Sale (B2B)

1. Scope: business customers only

All offers on de-linker.com are directed exclusively at businesses, installers, and EPCs. Partner accounts are reviewed before online ordering is enabled. No contracts are concluded with consumers; statutory consumer withdrawal rights therefore do not apply.

2. Ordering and contract

The catalog is an invitation to order. Your checkout submission is a binding offer; the contract is concluded when Linker Technology GmbH confirms the order or provides the order documents. Order history and documents stay available in your partner account.

3. Prices and VAT

Prices are net unit prices in EUR, excluding VAT and shipping. Applicable VAT is shown at checkout. German trade buyers are charged 19% VAT and reclaim it as Vorsteuer: the 0% rate for photovoltaic systems under § 12 Abs. 3 UStG stops at the operator of the installation and does not apply to a purchase for resale. Trade buyers established in another EU member state, with a valid USt-IdNr and goods leaving Germany, are invoiced VAT-free as an intra-community supply under § 4 Nr. 1 lit. b i.V.m. § 6a UStG; the buyer must return the Gelangensbestätigung within 30 days of delivery, Linker Technology GmbH retains title to the goods until it arrives, and the VAT is re-charged if it does not. The 0% rate under § 12 Abs. 3 UStG is applied only where the buyer is the operator of the installation and submits the qualifying declaration at checkout; that declaration is recorded as tax-audit evidence. Volume tier prices apply automatically in the cart at the listed quantities where configured.

4. Payment

Payment is by bank transfer / prepayment. Bank details are provided with the order documents. Orders are processed and dispatched after receipt of payment unless expressly agreed otherwise. Invoices, Proforma invoices and related order documents are issued electronically and made available in the buyer’s account and by email; by ordering, the buyer consents to receiving invoices in electronic form (§ 14 Abs. 1 UStG).

5. Shipping and delivery

Shipping is by freight (pallet) or parcel service. Where a parcel charge can be calculated reliably, it is shown at checkout. For pallet, dangerous-goods, multi-item, unknown-weight, and cross-border orders, checkout marks freight as pending; Linker confirms the charge on the Proforma, and nothing is payable until the Proforma total is complete. Delivery dates are communicated per order and are estimates unless expressly confirmed. For B2B sales, risk passes to the buyer when the goods are handed to the carrier. Please inspect deliveries on receipt and document any transport damage to the carrier without undue delay.

6. Retention of title

Delivered goods remain the property of Linker Technology GmbH until full payment of the purchase price.

7. Warranty and product guarantees

Statutory B2B warranty rights apply. Product or performance guarantees (e.g. for modules, inverters, and storage) apply as issued and stated in the documents provided on the product pages and download center; Linker handles any claim under them for you.

8. Liability

Linker Technology GmbH is liable without limitation for intent and gross negligence and under mandatory statutory liability provisions. Any further liability for simple negligence is limited to foreseeable, contract-typical damage and only where an essential contractual obligation is breached.

9. Applicable law

The law of the Federal Republic of Germany applies to the extent permissible, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The contract language is English.
